THESE PROMOTIONAL TERMS ARE GOVERNED BY AND INCORPORATED INTO BY REFERENCE THE CHALKBOARD TERMS OF USE AND PRIVACY POLICY, AND PROVIDE ADDITIONAL TERMS AND RULES FOR THE PROMOTION OFFERED BY CHALKBOARD ON A LIMITED BASIS AT CHALKBOARD’S SOLE AND ABSOLUTE DISCRETION, THE TERMS OF WHICH ARE FURTHER OUTLINED HEREIN. TERMS CAPITALIZED HEREIN BUT NOT DEFINED SHALL HAVE THE MEANINGS AS DEFINED IN THE CHALKBOARD TERMS OF USE, PRIVACY POLICY, OR ANY OTHER SUPPLEMENTAL TERMS PROVIDED ON OUR WEBSITE. YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE PROMOTIONAL TERMS, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH CHALKBOARD, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THESE PROMOTIONAL TERMS PERSONALLY OR ON BEHALF OF THE ENTITY YOU HAVE NAMED AS THE USER, AND TO BIND THAT ENTITY TO THESE PROMOTIONAL TERMS. IF YOU DO NOT AGREE TO BE BOUND BY THESE PROMOTIONAL TERMS, YOU MAY NOT ACCESS OR USE THIS WEBSITE, APPLICATION, OR THE SERVICES. YOU AND CHALKBOARD ARE EACH A PARTY TO THESE PROMOTIONAL TERMS AND MAY BE INDIVIDUALLY REFERRED TO HEREIN AS A “PARTY” AND TOGETHER AS THE “PARTIES” HERETO.
1 THE PROMOTION
1.1 The Chalkboard Deposit Match Promotion (the “Promotion”) allows you to receive rewards for making a Purchase or deposit into your Account using a one-time unique Promotional code provided by Chalkboard between the Start Date and End Date of this Promotion as set forth above.
1.2 These Promotional Terms apply to and govern your participation in the Promotion. In our Terms of Use, you have agreed to, among other things, provisions regarding intellectual property, warranty disclaimers, limitation of liability, and the requirement for disputes related to your use of the Chalkboard Properties.
2 ACCEPTANCE AND MODIFICATIONS TO THE TERMS OF THE PROMOTION
2.1 By participating in the Promotion, you agree to be bound by these Promotional Terms. A new binding agreement between you and us is created upon your participation in this Promotion. As such, you should read these Promotional Terms carefully.
2.2 Chalkboard reserves the right to modify, update, cancel, or in any way alter the Promotion, these Promotional Terms or any part thereof, at any time, without notice to you. You agree to be bound by such amended terms in place any time you participate in the Promotion. Please check regularly and review any updates to the Promotional Terms.
2.3 You hereby confirm that you have read these Promotional Terms, had ample opportunity to consult with your own legal advisors, and agree to all of the terms and conditions herein. You agree that your participation in the Promotion is in no way, shape, or form reliant on any representation, guarantee, and/or statement other than as set forth in these Promotional Terms.
3 PROMOTION DEFINITIONS
3.1 The definitions found in our Terms of Use, Privacy Policy, and any Supplemental Terms are hereby incorporated by reference. Additionally, the following definitions apply to this Agreement:
• “Minor” shall mean an individual under eighteen (18) years of age; provided, however, that Minor shall also mean: (a) any individual under nineteen (19) years of age who is a legal resident of or currently located in Nebraska, or (b) any individual under twenty-one (21) years of age who is a legal resident of or currently located in Massachusetts;
• “Deposit” means the deposit made into your Account in conjunction with the Promotional code given to you by Chalkboard.
• "Deposit Match Card" means the promotional reward granted to your Account when you enter the unique Promotional code for this Promotion. When applied to a qualifying Deposit, the Deposit Match Card credits bonus funds equal to fifty percent (50%) of that Deposit, up to a maximum of one hundred dollars ($100) in bonus funds. For illustration only: applied to a $50 Deposit, the Card credits $25; applied to a $200 Deposit, the Card credits the maximum $100; applied to a Deposit above $200, the Card still credits only the maximum $100. Any fractional cent in the calculated Deposit Match is rounded to the nearest whole cent. Bonus funds credited by the Deposit Match Card are non-withdrawable and subject to the play-through requirements below. Chalkboard may, in its sole discretion, alter, increase, decrease, or otherwise change the rate, cap, or form of the Deposit Match Card.
"Coins" and "CB Cash" have the meanings set forth in the Social Sports Picks Official Rules and any Supplemental Terms.
"Purchase" means a purchase of Coins made in conjunction with the Promotional code in the Social Sports Picks game.
"Bonus Match Card" means the promotional reward granted to your Account when you enter the unique Promotional code in the Social Sports Picks game. When applied to a qualifying Purchase, the Bonus Match Card credits a promotional match equal to fifty percent (50%) of that Purchase, up to a maximum of one hundred (100) CB Cash, and Coins as determined by Chalkboard. Any fractional amount is rounded to the nearest whole Coin for the Coins component and to the nearest whole cent for the CB Cash component. CB Cash credited by the Bonus Match Card is subject to the redemption and play-through requirements set forth in the Social Sports Picks Official Rules and the Social Sports Picks Play-Through Policy. Chalkboard may, in its sole discretion, alter, increase, decrease, or otherwise change the rate, cap, currency split, or form of the Purchase Bonus Card.
• "Player(s)" means an individual who uses the Chalkboard Services, as further described in our Terms of Use and any Supplemental Terms.
4 ELIGIBILITY
4.1 Any Player who is not a Minor, who follows the appropriate steps below, and who complies with these Promotional Terms, the Terms of Use, the Privacy Policy, and is located in an Eligible State (as posted https://helps.chalkboard.io/en/articles/7897673-who-can-play-dfs for Chalkboard Fantasy Contests and posted at https://helps.chalkboard.io/en/articles/10670352-who-can-play-social-sports-picks for Chalkboard Social Sports Picks) may choose to participate in our Promotion. Please note that the definition of Eligible State may change from time to time, and you are responsible for ensuring you are located in an Eligible State.
5 PROMOTION DETAILS
5.1 When you enter a valid Promotional code for this Promotion for the first time, Chalkboard will grant a Deposit Match Card to your Account. You may apply the Deposit Match Card if: (i) it is the first time you use a Promotional code for this Promotion; (ii) you make a Deposit of at least one dollar ($1); and (iii) you make the Deposit between the Start Date and End Date. When applied, the Deposit Match Card credits bonus funds equal to fifty percent (50%) of your qualifying Deposit, up to a maximum of one hundred dollars ($100). To keep those bonus funds, you must satisfy the play-through requirement applicable to promotional card funds — one (1) time through the Deposit and the credited bonus funds — within ninety (90) days of the Deposit. If any portion of the credited bonus funds is not played through within that period, Chalkboard may remove the unplayed amount at any time thereafter. For the avoidance of doubt, no bonus funds are credited unless you meet all requirements herein. You may use the Promotional code one (1) time and are eligible to receive one (1) Deposit Match Card under this Promotion. Chalkboard shall endeavor to grant and credit within a reasonable time, but you understand it may take up to thirty (30) days or longer.
5.2 When you enter a valid Promotional code for this Promotion for the first time in the Social Sports Picks game, Chalkboard will grant a Bonus Match Card to your Account. You may apply the Bonus Match Card if: (i) it is the first time you use a Promotional code for this Promotion; (ii) you make a Purchase of at least one dollar ($1); and (iii) you make the Purchase between the Start Date and End Date. When applied, the Bonus Match Card credits a promotional match equal to fifty percent (50%) of your qualifying Purchase, up to a maximum of one hundred (100) CB Cash, credited in Coins and CB Cash. To redeem any CB Cash so credited, you must satisfy the play-through and redemption requirements set forth in the Social Sports Picks Official Rules and Social Sports Picks Play-Through Policy. You may use the Promotional code one (1) time and are eligible to receive one (1) Bonus Match Card under this Promotion. This Promotion is void where prohibited.
6 ADDITIONAL TERMS AND CONDITIONS
6.1 Any bonus funds credited by a Deposit Match Card or Bonus Match Card must be played through as set forth in the Promotion Details before any resulting winnings may be withdrawn, consistent with Chalkboard's play-through policy for promotional card funds. You agree to abide by any additional terms in the advertisement of the Promotion (for example, that the Promotion may be limited to first-time deposits), which are incorporated into these Promotional Terms.
6.2 Chalkboard reserves the right to refuse service to any potential Player and to close the Account of any Player, at any time, in our sole discretion.
6.3 If, in our sole discretion, Chalkboard suspects any fraud, and/or violation of these Promotional Terms, the Terms of Use, the Privacy Policy, and/or any Supplemental Terms, Chalkboard may delay payment of the Deposit Match to you for up to one hundred eighty (180) days while investigating and verify relevant information. Chalkboard is not obligated to pay a Deposit Match to you should you, as determined at Chalkboard’s sole discretion, commit fraud and/or otherwise violate these Promotional Terms, the Terms of Use, the Privacy Policy, and/or any Supplemental Terms.
6.4 You shall comply with all applicable laws and Chalkboard policies relating to anti-money laundering, counter-terrorist financing, and the proceeds of unlawful activity.6.5 All taxes due in connection with any payments to you are your sole liability. You are solely responsible for paying all federal and other taxes in accordance with the laws that apply in your city, state, province, and/or country of residence. It is the policy of this Promotion, and in compliance with the United States Internal Revenue Service regulations, that Chalkboard may send you an IRS Form 1099-MISC or any other appropriate form. Depending on the jurisdiction in which you reside, Chalkboard may also send you a W-9 and/or additional tax forms. Chalkboard reserves the right to withhold (from your existing Account balance) any amount required to be withheld by law or until requested information and forms are received.
6.6 You hereby acknowledge and agree there is no relationship of exclusivity, partnership, joint venture, employment, agency, or franchise between you or us under these Promotional Terms. Neither you nor us have the authority to bind the other (including the marking of any representation or warranty, assumption of any obligation or liability, and/or exercise of any right or power), except as expressly provided in these Promotional Terms or our other terms incorporated herein by reference.
6.7 You may not under any circumstances sublicense, assign (by operation of law or otherwise) or otherwise transfer these Promotional Terms or any license or any right, duty, or obligation hereunder without our prior written consent. Any attempt to do so shall be null and void. Subject to the foregoing limitations, these Promotional Terms will mutually benefit and be binding upon the parties, their successors and assigns.
6.8 A failure or delay by either you or us to enforce any right under these Promotional Terms shall not at any time constitute a waiver of such right or any other right, and shall not modify the rights or obligations of either you nor us under these Promotional Terms. Any waiver by either party of any right hereunder shall not constitute a waiver of such right in the future. If any provision or portion of these Promotional Terms is held to be unenforceable or invalid, the remaining provisions and portions shall nevertheless be given full force and effect, and the parties agree to negotiate, in good faith, a substitute valid provision which most nearly affects the parties' intent in entering these Promotional Terms.
6.9 Neither party will be deemed in default of any obligation hereunder nor be liable for any failure or delay in performance which results directly or indirectly from any cause beyond its reasonable control, including without limitation, “Acts of God,” delays or failures in the Internet or related carriers or third-party equipment, hurricane, war, fire, riot, earthquake, weather, pandemic or endemic, terrorism, act of public enemies, strikes, labor shortage, actions of governmental authorities or other force majeure event.
6.10 These Promotional Terms shall be governed by and construed under the laws as set forth in our Terms of Use. Any dispute arising out of or relating to these Promotional Terms shall be resolved as set forth in our Terms of Use.
6.11 These Promotional Terms, together with the Terms of Use, Privacy Policy, and any Supplemental Terms, constitute the entire agreement between you and Chalkboard regarding this Promotion and supersede all prior agreements and understandings, whether written or oral, relating to its subject matter. In the event of a conflict, the following order of precedence controls: (1) the Terms of Use; (2) the Privacy Policy; (3) any Supplemental Terms; and (4) these Promotional Terms.
6.12 The rate, cap, minimum Deposit, and eligible products for this Promotion are as stated in these Promotional Terms. To the extent any advertisement states a different rate or cap, these Promotional Terms control, and Chalkboard reserves the right to correct any erroneously advertised amount.
6.13 Refunds and Chargebacks. Bonus funds credited by a Deposit Match Card or Purchase Bonus Card are issued on the basis of the qualifying Deposit or Purchase that generated them. If that Deposit or Purchase is refunded, reversed, charged back, or otherwise reclaimed, whether at your request or as part of a payment dispute, the associated bonus funds are no longer valid and Chalkboard may remove them from your Account at that time. Chalkboard may also adjust or remove any winnings generated using those bonus funds, depending on your Account activity. This applies to both Chalkboard Fantasy Contests and Social Sports Picks.
CHALKBOARD RESERVES THE RIGHT TO CHANGE, CANCEL, AND/OR IN ANY WAY MODIFY THE PROMOTION AND/OR THESE PROMOTIONAL TERMS WITHOUT PRIOR WRITTEN NOTICE.
